1. Services
1.1 Modifications. Audience Lab Corporation may make commercially reasonable changes to the services from time to time. If we introduce a significant change, we will notify customers who have opted to receive updates about such modifications.
1.2 Domain Ownership. Customers must own or have control over the domain names associated with the services they use from Audience Labs. They are responsible for any legal implications related to their domain names.
1.3 Legal Entity. The services are provided by Audience Lab Corporation, a registered entity.
2. Customer Obligations
2.1 Compliance. Customers must use the services in line with Audience Lab Corporation's acceptable use policy. Audience Lab Corporation may introduce new features or services, and using them might require agreeing to additional terms.
2.2 Data Monitoring. Customers are responsible for monitoring and processing data they obtain through our services. However, Audience Lab Corporation might monitor this data to detect misuse or anomalies in the services
2.3 Customer Administration of the Services. Customers can assign administrators who have rights to access and manage user data. Customers are responsible for keeping account details, like passwords, secure and ensuring that all activities comply with the agreement. Audience Lab Corporation's role is just to process data, not manage or administer the services for the customer.
2.4 Unauthorized Use. Customers should prevent and stop any unauthorized use of the services and inform Audience Lab Corporation if they notice any. Unauthorized use includes activities that violate our acceptable use policy or any other misuse of the data provided.
2.5 Restrictions on Use. Customers, unless given written permission by Audience Lab Corporation, shouldn't resell the services, try to reverse engineer them, create similar services, or use the services for high-risk activities. Customers are also responsible for compliance with any relevant data protection regulations.
2.6 Third Party Requests. Customers are responsible for handling requests from third parties about their data. Audience Lab Corporation will notify the customer if they receive such a request and will provide the necessary information or tools for the customer to respond, as long as it's legally permissible.
3. Billing and Payment
3.1 Audience Lab Corporation may adjust its services and will notify customers of significant changes, especially those who've opted for updates.
3.2 Fees. Customers will be charged based on either a mutually agreed upon contract amount or a monthly subscription fee, depending on the specific services selected.
3.3 Payment. All payments are to be made in U.S. dollars.
3.3 Customers can choose between various payment methods, including credit/debit cards and invoices. As we evolve, we might introduce additional payment methods, and customers will be informed accordingly.
3.4 Taxes. Customers are responsible for any taxes, duties, or other governmental charges that may apply to their purchase, depending on their local jurisdiction. If Audience Labs is obligated to collect or pay taxes, these will be added to the invoice, unless the customer provides a valid tax exemption certificate.
3.5 Refunds. Specific refund policies, if any, will be discussed and agreed upon at the time of contract or subscription initiation.
4. Technical Support Services
4.1 Customer Responsibilities. Audience Lab expects customers to initially handle inquiries and issues raised by their end users related to the services provided by Audience Lab. Customers should make every effort to address and resolve these matters independently.
4.1 Audience Lab Support. Should a customer be unable to resolve a service-related issue, they can escalate the matter to Audience Lab's dedicated support team. We commit to providing timely and effective support in line with our service guidelines.
5. Suspension
5.1 Suspension Due to Policy Violations. If Audience Lab Corporation detects that a user has breached any terms of our agreement, we reserve the right to request the customer to temporarily deactivate that specific user's account. If the customer doesn't address this request promptly, Audience Lab may directly suspend the account. This suspension will remain in effect until the user corrects the violation.
6. Confidential Information
6.1 Protection and Usage. Both parties agree to protect each other's Confidential Information, using the same care as for their own. Confidential Information may only be disclosed to authorized Affiliates, employees, and agents who have agreed to maintain its confidentiality. It may be used solely for fulfilling obligations and rights under this Agreement.
6.2 Exceptions. Confidential Information excludes data known prior, public information, self-developed data, or lawfully obtained from another party.
6.3 Mandatory Disclosure. If legally required, the disclosing party will make reasonable efforts to notify the other party and allow a challenge to the disclosure.
7. Intellectual Property
7.1 Audience Lab's Intellectual Property Rights: Audience Lab owns all intellectual property rights related to its services, including patents, trademarks, copyrights, data, and trade secrets used or enjoyed by Audience Lab. These rights cover various aspects, such as design, technology, and support.
7.1.1 Protection of Audience Lab's Intellectual Property Rights. Customers must not copy, alter, modify, or tamper with the services. Any actions that may invalidate or infringe upon Audience Lab's intellectual property rights are prohibited.
7.2 Customer Intellectual Property Rights. Audience Lab recognizes that customers own all intellectual property rights concerning their data.
8. Limitation of Liability
